Position Description
EyeCare Partners is building the largest clinically integrated network of eyecare providers in the United States. Today, this network cares for the full spectrum of eye care needs to over 3,000,000 patients annually. From primary optometry care to both general and sub-specialty ophthalmology care, our providers serve patients in 19 states, with over 680 sites of service, including over 29 ambulatory surgical centers. The Ophthalmology Division supports our ophthalmology providers and ASC administrators. The Associate General Counsel - Ophthalmology Division will work under the direction of and in support of the General Counsel and will ostensibly act as the Division General Counsel. This individual will work to support Division leaders in addressing the operational legal and regulatory matters that arise from time to time, and will coordinate the delivery of legal services with other members of the EyeCare Partners Legal Team, including the Associate General Counsel - Optometry Division, Associate General Counsel - HR and Litigation and the Associate General Counsel - Integrations, with the Chief Compliance Officer, and with other members of the ECP Support Services Division. The position involves coordinating, drafting, negotiating and/or reviewing contracts across a variety of types and subject matters, including real estate, employment and supply agreements; assisting with licensing matters, and interacting with government agencies; and providing advice on the necessary processes, programs, policies and procedures for employees at all levels that have legal and/or compliance considerations.
Key Roles and Responsibilities


  • Advising executive and senior management on various matters impacting the Division, such as contractual rights/obligations, and new and existing laws
  • Reviewing and creating vendor agreements, time-share license agreements, equipment leasing agreements, ASC Operating Agreements, and similar contracts used in the day-to-day operations of the Division
  • Maintaining knowledge of the organizational structure and legal documents impacting corporate governance of Division entities
  • Promulgating and creating directives of corporate acts and decisions
  • Assisting with licensing and credentialing applications
  • Liaising with outside counsel regarding their assignments
  • Assisting General Counsel and Chief Compliance Officer in developing, adapting, and leading corporate compliance programs
  • Supporting coding and other internal investigation of Division practices and providers
  • Partnering with members of the EyeCare Partners Medical Executive Board on issues such as clinical quality and compliance, patient safety and clinical research
  • Reviewing the results of the due diligence received during an acquisition process and working with the Integration team to ensure appropriate operational changes are implemented to address identified areas of opportunity

    Key Attributes

    • Juris Doctorate degree and a member of at least one state bar association
    • Minimum of 5 years' practice with an established law firm or corporate legal department
    • Experience within a complex corporate institution preferred
    • Preferred experience in health care or advising health care clients
    • Proven ability to manage diverse relationships, exceptional communicator, and ability to work collaboratively in a matrixed relationship with line and staff areas
    • Preferred experience with private equity stakeholders
    • Knowledge of regulatory impact on multi-state/multi-unit health care operations
    • Team player
